Terms of Service

Welcome to Ariel, a subscription-based personal assistant and calling service operated by Arietta AB (“we,” “our,” or “us”). By creating an account, accessing, or using the Ariel service (“Service” or “Ariel”), you agree to be bound by this Terms of Service (“ToS” or “Agreement”). If you do not agree with these terms, do not use Ariel.

1. Introduction

1. Service Name and Operator

• This Agreement governs your use of Ariel, a personal assistant and calling service operated by Arietta AB.

2. Applicability

• This ToS applies to users in the EU/EEA/UK and is governed by Swedish law.

3. Acceptance and Effective Date

• By using Ariel on or after December 23, 2024, you acknowledge and agree that you have read, understood, and accept this Agreement.
• Continued use of Ariel after any modifications to this ToS will constitute acceptance of those changes (see Section 13).

4. Relationship with Privacy Policy

• Your use of Ariel is also subject to our [Privacy Policy], which provides information about how we collect, use, and protect your personal data. Please review it carefully.

2. Scope of Services

1. Key Features

• Personal Assistant: Ariel offers AI-powered assistance for tasks and reminders.
• Calling Functionality: Make and receive calls, optionally recording and transcribing them, subject to your local laws (see Section 5).
• Subscription-Based Access: There is no free tier; Ariel is accessible only through a paid subscription (monthly or yearly), with two different subscription tiers that offer varying levels of functionality.

2. No Free Tier

• You must maintain an active, paid subscription to use any features of Ariel.

3. Third-Party Integrations

• Ariel may integrate with third-party providers, including (but not limited to) Google Cloud Platform for hosting, Neo4j for database management, Vonage for call services, and OpenAI for AI language processing.
• Use of these integrations is subject to the respective third-party terms, and we disclaim responsibility for disruptions or issues arising from these external services.

3. Account and Registration

1. Account Creation

• To use Ariel, you must create an account by providing your name, phone number, and any optional profile details.
• You must provide accurate and lawful information during the registration process.

2. Verification

• We may verify your phone number via SMS or automated calls to ensure account authenticity and security.

3. Age Restrictions

• You must be at least 16 (or the equivalent minimum age in your jurisdiction) to create an account. If you are younger than 16, you are prohibited from using Ariel.

4. Responsibility for Your Account

• You are responsible for keeping your login credentials confidential and for all activities that occur under your account. Notify us immediately if you suspect unauthorized use.

4. Grant of Rights

1. License

• We grant you a non-exclusive, non-transferable, revocable license to use Ariel for your personal, non-commercial use, subject to your compliance with this ToS.

2. Restrictions

• You may not:
• Reverse engineer, decompile, or modify Ariel or create derivative works of it.
• Use any Ariel trademarks, logos, or other proprietary information (including images and text) without our prior written consent.
• Use the Service for commercial, profit-seeking, spam, fraudulent, or otherwise illegal purposes.

3. Intellectual Property

• All rights, title, and interest in and to Ariel (including all software, content, and trademarks) are owned by Arietta AB or its licensors. No transfer of ownership is intended or implied.

5. User Responsibilities

1. Accurate Information

• You must provide and maintain accurate, lawful information in your account.

2. Legal and Ethical Conduct

• You agree not to use Ariel for any unlawful activities, harassment, defamatory conduct, or any other misuse.
• You specifically agree not to use Ariel for spam calling, fraudulent activities, or commercial solicitation.

3. Call Recording Compliance

• You are solely responsible for complying with any local, state, or national laws and regulations regarding call recording.
• Some jurisdictions require all parties in a call to consent to being recorded. It is your obligation to inform other parties that the call is being recorded if such consent is required by law.

4. Non-Commercial Use

• Ariel is intended for personal and private use only. Commercial use is expressly prohibited.

6. Paid Services

1. Subscription Plans

• Ariel offers two subscription tiers, each with a monthly or yearly billing option. Different tiers may have different feature sets, as described on our website or in the app at the time of purchase.

2. Billing and Payment

• You must provide a valid payment method to subscribe. Subscription fees are due and payable in advance on a recurring basis (monthly or yearly, as selected).

3. Renewals

• Your subscription will automatically renew at the end of each billing cycle unless you cancel prior to the renewal date. By subscribing, you authorize us to charge your chosen payment method for the renewal term.

4. Cooling-Off and Cancellation

• If you unsubscribe before the end of your 30-day subscription period (or equivalent monthly cycle), you will continue to have access to Ariel until the end of that period, but no monetary refund will be provided.
• This policy does not limit any mandatory consumer rights that may be applicable in your jurisdiction (e.g., EU consumer protection laws).

5. No Refund Policy

• Except as required by mandatory law, all payments are non-refundable. If you choose to cancel or do not use your subscription, you will not receive a refund.

6. Consequences of Non-Payment

• If we cannot process your payment, your access to Ariel’s features may be suspended or terminated until payment is successfully made.

7. Privacy and Data Protection

2. GDPR Compliance

• For users in the EU/EEA/UK, we comply with the General Data Protection Regulation (GDPR). You can exercise your data subject rights as outlined in our Privacy Policy.

8. Content and Intellectual Property

1. User Content

• You remain responsible for all content (e.g., audio recordings, transcripts, messages) that you upload or share through Ariel.
• You represent and warrant that your content does not infringe any third-party rights or violate any laws.

2. Removal of Inappropriate Content

• We reserve the right (but do not assume any obligation) to monitor, review, remove, or disable access to any content that violates this ToS, at our discretion and without prior notice.

3. Arietta AB Ownership

• Ariel’s software, logos, trademarks, and any associated materials are owned by Arietta AB or its licensors. Unauthorized use is prohibited.

9. Third-Party Services

1. Integrations

• Ariel integrates with third-party platforms including Google Cloud Platform, Neo4j, Vonage, and OpenAI. Your use of these services within Ariel is subject to their respective terms of use.

2. Disclaimer

• We are not responsible for any downtime, error, or breach originating from these third-party services. Your use of such third-party features is at your own risk.

10. Support and Availability

1. Technical Support

• We strive to provide timely technical support for Ariel but do not guarantee any particular response time or resolution.

2. Service Updates

• Ariel may be updated or modified without prior notice for maintenance, security, or feature improvements.

3. No Guaranteed Uptime

• We do not guarantee that the Service will be free from interruptions or errors at all times.

11. Termination

1. User Termination

• You may terminate your account at any time by ceasing to use Ariel and following account deletion procedures (if available within the app or by contacting support).

2. Termination by Arietta AB

• We may suspend or terminate your account immediately if you breach this ToS or if required by law or regulatory authorities.

3. Effects of Termination

• Upon termination, your right to use Ariel ceases immediately. No refunds will be provided except as required by law.

12. Limitation of Liability

1. Disclaimer of Warranties

• Ariel is provided on an “as is” and “as available” basis. We make no warranties, express or implied, about the Service’s accuracy, reliability, or suitability.

2. Limitation of Damages

• To the fullest extent permitted by law, Arietta AB will not be liable for any indirect, incidental, consequential, punitive, or special damages arising out of or related to your use of Ariel, even if we have been advised of the possibility of such damages.

3. Maximum Liability

• In no event shall Arietta AB’s total liability exceed the amount you have paid to us in the past 12 months.

13. Modifications to Terms

1. Notification of Changes

• We may modify or update this ToS from time to time. We will notify you by email at least 7 days before any material changes take effect.

2. Acceptance of Modifications

• Your continued use of Ariel after the effective date of any changes signifies your acceptance of the revised ToS. If you do not agree, you must stop using Ariel before the effective date of the changes.

14. Dispute Resolution and Governing Law

1. Governing Law

• This ToS and any dispute arising out of or in connection with it are governed by Swedish law, without regard to conflict-of-law principles.

2. Jurisdiction

• Any dispute arising out of or related to this ToS shall be subject to the exclusive jurisdiction of the courts located in Sweden.

3. Alternative Dispute Resolution

• Where required by law, we will consider reasonable alternative dispute resolution options for consumer disputes.
